RongViet Securities successfully holds the FY2025 Annual General Meeting of Shareholders and announces Q1/2026 business results

Ho Chi Minh City, April 16, 2026 – RongViet Securities Corporation (HOSE: VDS) successfully held the Annual General Meeting of Shareholders (AGM) for fiscal year 2025. The Meeting approved the 2026 business plan, targeting revenue of VND 1,319 billion and pre-tax profit of VND 510 billion, along with a share issuance plan to increase charter capital to VND 4,500 billion. With the participation of 203 shareholders representing more than 71% of total voting shares, the AGM also approved all reports and proposals with a high level of consensus.

FY2025 Business Results: Substantially Achieving Annual Targets

In 2025, amid unpredictable market fluctuations and intensifying competition, RongViet remained committed to strategic objectives, maintained prudent risk management practices, and adapted flexibly to market developments to optimize business performance.

At the end of 2025, RongViet recorded consolidated revenue of VND 1,096.3 billion and after-tax profit of VND 282.2 billion, equivalent to 99.1% and 94.2% of the annual plan, respectively.

The Company completed the increase of charter capital to VND 2,720 billion. As of the end of 2025, total assets and shareholders’ equity reached VND 8,121 billion and VND 3,099 billion, respectively. Operational efficiency indicators and financial safety ratios continued to rank among the leading securities companies in the market, providing a solid foundation for business development in the coming period.

In addition to a comprehensive digital transformation strategy and continuous efforts to enhance customer experience, RongViet made a strong impression through pioneering initiatives and sustained efforts in implementing sustainable development activities, contributing positively to the market, the community, society, and the environment. 2026 Business Plan: Pre-tax Profit Target of VND 510 Billion

RongViet believes that Vietnam’s stock market in 2026 will undergo qualitative changes and experience deeper, more sustainable growth. Capital flows are expected to become increasingly selective, concentrating on enterprises with strong financial foundations, sound governance, and sustainable development orientations.

Based on this outlook, the Company has established a consolidated business plan for 2026 with total revenue of VND 1,318.6 billion and total expenses of VND 808.6 billion, representing increases of 20.3% and 7.9%, respectively, compared with 2025 results. Accordingly, pre-tax profit is targeted at VND 510 billion and after-tax profit is estimated at VND 408 billion, equivalent to growth of 47.1% and 44.6%, respectively, compared with 2025 performance.

To achieve these objectives, RongViet will continue implementing proactive, flexible, and efficiency-driven business strategies, focusing on five core pillars: brokerage, lending, investment, investment banking, and asset management.

Brokerage and lending activities will continue to be strengthened to maximize available resources, market potential, and business opportunities, while flexible policies will be applied to enhance competitiveness and expand market share.

For investment activities, the Company continues to identify this segment as a key business driver, aiming to maintain superior profitability while proactively and effectively managing risks.

In investment banking, RongViet will focus on high-value M&A advisory transactions, underwriting activities, and capital arrangement services. Traditional corporate finance advisory and issuance advisory services will also continue to be developed.

In asset management, through the subsidiary RongViet Asset Management (VDAM), the Company plans to accelerate the development of open-ended funds, entrusted investment services, and investment advisory solutions, thereby leveraging the advantages of RongViet’s comprehensive financial and investment ecosystem.

At the same time, stronger coordination among business segments and effective utilization of network strengths and client relationships are expected to help complete the product and service ecosystem, enhance cross-selling opportunities, improve customer experience, and strengthen RongViet’s competitive position.

Overview of the AGM

2026 Operating Theme: “Enhancing Inner Strengths – Enforcing Solid Standing”

As Vietnam’s financial and securities market continues to evolve rapidly with increasing demands for competitiveness, governance, and innovation, RongViet recognizes that continuously enhancing internal capabilities is essential for sustainable growth. Based on this spirit, the Company has selected “Enhancing Inner Strengths – Enforcing Solid Standing” as the guiding theme for all operations in 2026.

Regarding financial capacity, RongViet submitted a plan to the AGM to issue up to 178 million shares, aiming to increase charter capital to VND 4,500 billion during 2026.

Specifically, in Phase 1, RongViet will issue 27.2 million shares for the 2025 dividend payment (at an entitlement ratio of 10:1), while also issuing 6.4 million ESOP shares to employees (equivalent to 2.35% of outstanding shares) at a price of VND 10,000 per share. In addition, RongViet will offer 54.4 million shares to existing shareholders through a rights offering (ratio of 5:1) at a subscription price of VND 10,000 per share.

Following the completion of Phase 1, RongViet plans to conduct a private placement of up to 90 million shares in Phase 2 to strategic investors and/or professional securities investors. The proceeds will be used to supplement business capital for margin lending and advance payment services, proprietary trading and underwriting activities, and participation in the bond market.

Alongside the goal of strengthening financial capacity, RongViet will continue focusing on improving workforce quality, particularly among management personnel and business teams, through recruitment and compensation policies designed to attract and retain talented professionals.

Guided by the principle of “Customer-Centricity” and the objective of “Enhancing Customer Experience and Investment Efficiency,” the Company will continue investing in research and development to expand a diversified financial and investment services ecosystem featuring advanced digital capabilities and outstanding convenience.

Shareholders participating in the Q&A session at the AGM

The year 2026 also marks an important milestone as RongViet approaches the 20th anniversary of establishment and development. This occasion provides an opportunity to reflect on the journey so far while reaffirming a long-term development orientation aimed at strengthening market position and creating sustainable value for shareholders, customers, employees, the economy, and society.

The AGM also approved the allocation of 1% of the Company's after-tax profit based on separate financial statements (more than VND 2.8 billion) to the Charity Fund and 2% (nearly VND 5.7 billion) to the Reward and Welfare Fund.

All remaining reports and proposals were also approved by shareholders, including the 2025 profit distribution and 2026 profit distribution plan; reports on remuneration for the Board of Directors and Supervisory Board in 2025 and remuneration plans for 2026; listing of RongViet public bonds issued during 2026–2027; selection of the 2026 external auditor; amendments to the Company Charter; issuance and listing of covered warrants; and other related matters.

Announcement of Q1/2026 Business Results

According to the recently released separate financial statements, RongViet recorded total revenue of VND 201.9 billion in Q1 2026, up 19.4% compared to the same period of 2025.

The largest contributions to revenue growth came from brokerage activities, which generated VND 54.8 billion (up 66% year-on-year), and lending activities, which generated VND 118.4 billion (up 29% year-on-year).

Against the backdrop of market volatility driven by global geopolitical factors, investment activities experienced short-term fluctuations, leading to increased provisioning expenses during the period. As a result, total expenses for Q1/2026 reached VND 232.5 billion. The Company recorded a pre-tax loss of approximately VND 30 billion for the quarter.

As of March 31, 2026, RongViet’s total assets and shareholders’ equity stood at VND 7,834 billion and VND 2,992 billion, respectively. Performance indicators, including ROEa (8.4%), ROAa (3.4%), and EPS (VND 892 per share), continued to place RongViet among securities firms demonstrating stable operational efficiency. In addition, the financial safety ratio remained above 350%, significantly exceeding regulatory requirements.

RongViet maintains a positive outlook for the remaining quarters of the year, supported by stable domestic macroeconomic conditions, the economy entering a new growth cycle, and FTSE Russell’s official confirmation of Vietnam’s stock market upgrade roadmap, effective from September 2026. These factors are expected to contribute to improved market liquidity and attract international investment flows over the medium and long term.

In this context, RongViet will continue proactively identifying and effectively capturing business opportunities, striving to comprehensively fulfill all objectives and targets approved by the Annual General Meeting of Shareholders for 2026.
